The Board Secretary: The new & expanded duties, role and responsibilities

The workshop is designed to help the Secretary to the board and committees:
- Be up to date on trends and developments in corporate governance and best board practices
- Have a clear understanding of the roles, responsibilities and obligations of directors and the Board
- Understand the statutory, contractual, common law and moral-ethical duties of the board and directors and how these impact director and board performance and on the expectations, they have on how the Secretary discharges his/her role, duties, and responsibilities.
- Understand the powers, limits of authority roles and responsibilities of the Board and directors;
- Understand the information the Board and directors need to effectively discharge their roles and hence enable the secretary to effectively facilitate the preparation and packaging of the information the board needs, wants, and must know and not just what management wants the Board to know.
- Ensure that the Board and directors receive appropriate, concise and accurate information on a timely basis, based on what data or reports the board requires to enable it guide, constantly monitor and evaluate the implementation of strategies, risks, management performance, the financial position, progress and the performance of the organization.
- What they must do to ensure that the Board directors understand their role in the management of conflicts, dissent and board dynamics
- Learn how to enhance the performance and effectiveness of the Board, facilitate effective board meetings, and ensure accurate recording, dissemination and implementation of board decisions.
- Effectively discharge other key areas of responsibility relevant to:
- Induction and orientation of new board members,
- Being a point of contact, and maintaining accurate information on Board members
- Maintaining and ensuring safe custody of all board records and documents as required
- Facilitating disclosure and compliance with laws and guidelines,
- Monitoring corporate governance developments and assisting the Board to keep updated
- Ensuring proper board evaluations, governance audits and follow-up on actions necessary
